These conditions govern the affiliate program offered by Stone Rank Kft operating the software Ovirank. The objective is to allow affiliated partners to promote Ovirank and to receive a commission on eligible sales generated via their affiliate link.

4.1 The Affiliate must have a legal entity capable of issuing an invoice.
4.2 Registration may be refused or cancelled at any time in the event of inaccurate information, inadequacy, or reputational risks.
4.3 Sites or accounts that promote illegal, hateful, or misleading content or content that is contrary to good marketing practices are not allowed.
5.1 The Affiliate provides its full legal information for billing and payment.
5.2 Access to the affiliate dashboard is personal and cannot be transferred. The Affiliate is responsible for the confidentiality of its identifiers.
6.1 Sales attribution is based on a 30-day cookie And the affiliate link.
6.2 A sale is eligible if the purchase is made directly after clicking on the Affiliate's link, without prior commercial interaction initiated by Ovirank with this prospect.
6.3 In the event of attribution conflicts, Ovirank determines the source selected based on its logs and analysis tools.
7.1 The program focuses on the Ovirank software and, where applicable, on offers specifically marked as eligible in the Affiliate area.
7.2 The agency services are in principle not eligible unless otherwise specified in writing.
8.1 Default rate : 50% HT on the first eligible sale of offers marked as affiliable. Ovirank may offer other rates on specific campaigns.
8.2 Commissions only apply to the price actually collected by Ovirank, excluding taxes, discounts, credits, vouchers, chargebacks, processing fees.
8.3 In the case of a recurring subscription, the recurring commission is paid only if this is indicated for the offer. Otherwise, the commission is one shot on the first installment paid.
8.4 Cancelled, refunded, or fraudulent sales do not give rise to a commission. Commissions already paid on these sales may be offset on subsequent payments.
9.1 The commissions are validated 30 days after effective cashing in order to cover the withdrawal and dispute periods.
9.2 Payment threshold : âŹ100 EXCL. VAT cumulative minimum.
9.3 Periodicity : monthly payment after validation, on invoice issued by the Affiliate.
9.4 Payment method : bank transfer in EUR. Any transfer fees are borne by the beneficiary if their bank charges them.
9.5 Ovirank may require additional information prior to payment to meet KYC, tax, or anti-fraud obligations.
The Affiliate undertakes to respect the following rules:
a) Prohibition to use Ovirank's brands to buy keywords or sponsored ads that could create confusion, unless authorized in writing.
b) Prohibition of promises of guaranteed results, false testimonies, or unverified claims.
c) Prohibition of spam, typosquatting, phishing, brand parasitism, or traffic hijacking.
d) Prohibition to present yourself as an employee, agent or official representative of Ovirank.
e) Compliance with applicable laws, in particular with regard to advertising, competition, consumer protection and GDPR.
f) Prohibition of using email channels or databases without valid consent.
11.1 The brands, logos, visuals and content made available remain the property of Ovirank.
11.2 A non-exclusive and revocable license to use the media kit provided is granted to the Affiliate, strictly for the promotion of the program.
11.3 Any substantial modification of the visuals or derivative creations requires written agreement.
12.1 The Affiliate is solely responsible for its fiscal and social obligations relating to the commissions received.
12.2 The Affiliate guarantees Ovirank against any claim related to its own legal or regulatory breaches.
13.1 Each party acts as data controller for its own data.
13.2 Ovirank may provide the Affiliate with information that is aggregated and limited to attribution purposes. No sensitive or unnecessary data will be shared.
13.3 The Affiliate undertakes to respect the RGPD and to process only the data strictly necessary for the promotion.
13.4 In case of access to confidential information, the Affiliate undertakes to protect it and not to disclose it.
14.1 The affiliate contract begins upon acceptance by Ovirank and continues until terminated by one of the parties.
14.2 Ovirank may suspend or terminate at any time in the event of non-compliance, fraud, damage to the image, prolonged inactivity or for any legitimate reason.
14.3 Commissions validated and not contested at the date of cancellation will be paid according to the usual conditions. Those related to later reimbursed sales may be compensated.
15.1 Ovirank uses reasonable means to monitor sales and calculate commissions.
15.2 Ovirank does not guarantee a level of revenue, conversion, or traffic.
15.3 Ovirank's liability is limited to the amounts of commissions due and not paid hereunder.
16.1 Ovirank may change this document at any time.
16.2 Substantial changes will be notified by email or via the Affiliate dashboard, with a reasonable amount of time before coming into force. Continued participation after this period constitutes acceptance.
17.1 These are governed by the Hungarian law.
17.2 Jurisdictional jurisdiction: courts of budapest.
17.3 For disputes involving exclusively affiliates established in France, Ovirank accepts the subsidiary jurisdiction of the competent French courts, without waiving applicable Hungarian law.
